Two separate things live on this page. Part A covers using this website. Part B covers hiring us to build something. Part B only applies once we have both signed a scope document, which is where the real detail lives.
Part A — Using this website
The site is provided as information. Prices, timeframes and descriptions on it are indicative starting points, not an offer capable of acceptance and not a quotation. A binding price exists only in a signed scope document.
- The text, code, drawings and layout of this site belong to us. You may read, print and share it, but not republish it as your own.
- Do not attempt to disrupt, scrape at volume, or gain unauthorised access to the site.
- We may change or take down any page at any time.
Part B — Development work
How an engagement starts
We agree a written scope document listing every screen and feature, one fixed price and one delivery date. Work begins when you accept it in writing and the deposit clears. Nothing said in chat overrides the scope document.
Payment
- 50% on acceptance, 50% on delivery.
- Prices are in US dollars and exclude any taxes, duties or bank fees that apply in your country.
- Invoices are due within [PAYMENT TERM, e.g. 7 days].
- If final payment is more than [GRACE PERIOD] overdue we may suspend support until it is settled.
Changes to scope
The price does not move unless you ask for something the scope does not contain. If you do, we quote the extra cost and any effect on the date in writing, and nothing is built until you agree to it. Two rounds of revisions within the agreed scope are included.
Your responsibilities
Projects stall on inputs, not on code. You agree to provide content, access, and decisions within a reasonable time. Delays caused by waiting on you move the delivery date by the same amount and do not trigger the late-delivery reduction below.
Delivery date
If we miss the agreed date by more than seven days for a reason within our control, the final payment is reduced by ten percent. This is the sole remedy for late delivery. It does not apply to delays caused by you, by a third-party service, or by events outside either party's control.
Ownership of what we build
- On receipt of final payment, the source code and design produced specifically for you transfer to you outright.
- We keep ownership of general tools, libraries and patterns we built before your project or use across clients, and grant you a permanent licence to use them inside your delivered system.
- Third-party open-source components remain under their own licences, which we list at handover.
- Before final payment, the work remains ours and is licensed to you only for review.
Showing the work
We may describe the project and show screenshots in our portfolio, unless you tell us in writing not to. We will never publish your customer data, your figures, or anything you mark confidential.
Warranty
For 30 days after launch we fix defects, meaning the system not doing what the scope says it does, at no charge. That is not the same as new features, new requests, or problems caused by someone else changing the code. Beyond 30 days, support is a separate monthly agreement.
Limits of liability
Software is delivered as described in the scope, not as fit for every purpose you may later have in mind. To the fullest extent the law allows, our total liability for any claim connected to a project is capped at the total fees you paid us for that project, and we are not liable for lost profits, lost data, or indirect losses. Nothing here limits liability for fraud, or for anything that cannot be limited by law.
Ending the engagement
Either side may end a project in writing. You pay for work completed up to that point; the deposit covers the first stage and is not returned once work has started. On termination we hand over what exists in its current state.
Governing law
These terms are governed by the law of [JURISDICTION], and disputes go to the courts of [COURTS]. Before starting any proceedings both sides agree to try to resolve it directly, in writing, for 30 days.
